These Terms of Service (the "Agreement") are a legally binding contract between you ("You" or "User") and JotChord, LLC ("JotChord," "We," "Us," or "Our"). Throughout the site, the terms “we,” “us,” and “our” refer to JotChord, LLC. By accessing or using the JotChord web application, located at jotchord.com, or any associated services (collectively, the "Service"), you engage in our "Service" and agree to be bound by the following terms and conditions. If you do not agree to these terms, do not use the Service.
Any new features or tools added to the current Service will also be subject to the Terms of Service. We reserve the right to update, change, or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the Service following the posting of any changes constitutes acceptance of those changes.
The Service is hosted on Vercel Inc. and uses a database hosted by Supabase Inc.
1. THE SERVICE
JotChord provides a web-based service that allows users to create, edit, save, and share musical charts in the Nashville Number System (NNS) format using a proprietary syntax known as ChordText. Users can create, save, and generate a formatted PDF of their charts for personal use.
2. ACCOUNT AND USER OBLIGATIONS
To access the Service, you must register for an account by providing your email address. You agree to provide and maintain accurate, current, and complete information during the registration process. AsJotChord uses a passwordless authentication system, you acknowledge that access to your account is linked to your email address. You are solely responsible for all activities that occur under your account. You agree to keep your email account and any device used to access the Service secure and to notify us immediately of any unauthorized access to your account.
You represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.
3. USER-GENERATED CONTENT (UGC)
Content Ownership: You retain all ownership rights to the content you create and submit to the Service, including your ChordText charts, lyrics, and any other data ("Your Content"). However, you acknowledge that Your Content may be an interpretation or arrangement of a pre-existing copyrighted musical work. Your creation of a chart does not grant you any ownership rights to the original composition or its publishing rights, which are retained by the original copyright holder. You are solely responsible for ensuring Your Content does not infringe on the intellectual property rights or privacy of others.
Grant of License to JotChord: By submitting Your Content, you grant JotChord a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display Your Content in any form, medium, or technology, whether now known or hereafter developed. This license is necessary for us to operate, promote, and improve the Service.
Content Moderation and Removal: We may, but have no obligation to, monitor, edit, or remove content that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable or that violates any party's intellectual property or these Terms of Service. We will investigate reports of copyright infringement and will remove content that we deem to be infringing.
4. ACCEPTABLE USE POLICY
You are prohibited from using the site or its content:
- For any unlawful purpose or to solicit others to perform or participate in any unlawful acts.
- To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances.
- To infringe upon or violate our intellectual property rights or the intellectual property rights of others.
- To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
- To submit false or misleading information.
- To upload or transmit viruses or any other type of malicious code that could affect the functionality or operation of the Service, any related website, other websites, or the Internet.
- To collect or track the personal information of others.
- To spam, phish, pharm, pretext, spider, crawl, or scrape.
- For any obscene or immoral purpose.
- To interfere with or circumvent the security features of the Service, any related website, other websites, or the Internet.
- To use the Service for any unauthorized commercial purposes.
A breach or violation of any of the Terms will result in an immediate termination of your services. We reserve the right to refuse service to anyone for any reason at any time.
5. INTELLECTUAL PROPERTY RIGHTS
JotChord and its licensors own all intellectual property rights in and to the Service, including the ChordText syntax, software, design, trademarks, and all other proprietary materials. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with this Agreement. This Agreement does not grant you any ownership rights to the Service. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the service without our express written permission.
The Service may incorporate third-party and open-source software, as detailed at jotchord.com/lawyers.txt. Your use of such software is governed by its respective licenses.
6. SUBSCRIPTION AND PAYMENT TERMS
JotChord currently offers a free, limited tier of the Service. This free tier is a limited, ongoing service provided at our sole discretion. We reserve the right to modify or discontinue this free tier at any time.
In the future, we may offer paid "premium" accounts. If you subscribe to a premium account, you agree to pay the applicable fees. All payments will be made on a monthly or annual basis and are subject to the payment terms set forth at the time of purchase. All payments are non-refundable, unless otherwise required by law or specified in a separate refund policy. You agree to provide current, complete, and accurate purchase and account information for all purchases.
7. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF OUR SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOTCHORD, LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE. IN NO EVENT SHALL JOTCHORD'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100 USD) OR (B) THE AMOUNT YOU HAVE PAID TO JOTCHORD FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS LESS.
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless JotChord, LLC, and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third party.
10. TERMINATION
We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, with or without notice, if we believe you have violated this Agreement or if your conduct harmsJotChord, the Service, or other users. The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
If your account is terminated, we will retain Your Content for a reasonable period, but no less than 30 days, in the normal course of business. We are not obligated to back up Your Content, and you are solely responsible for creating your own backups.
11. DISPUTE RESOLUTION
- Governing Law: This Agreement and any disputes arising from it will be governed by the laws of the State of Washington, without regard to its conflict of law principles.
- Arbitration: Any dispute, controversy, or claim arising out of or relating to this Agreement or the Service shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in King County, Washington.
- Waiver of Class Action: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
- Notice: You must notify JotChord of any dispute by emailing legal@jotchord.com and providing a detailed description of the dispute.
12. PRIVACY POLICY
Your submission of personal information through this website is governed by our Privacy Policy, located at jotchord.com/privacy. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy. We are committed to complying with all applicable data protection laws, including the GDPR and CCPA.
13. GENERAL PROVISIONS
This Agreement constitutes the entire agreement and understanding between you and us and governs your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written. The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect. The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
